General Terms and Conditions of IMPACT Martial Arts AG (GTC)

1. Scope and Amendments of the GTC

These General Terms and Conditions (GTC) govern the legal relationship between the member and IMPACT Martial Arts AG, Josefstrasse 92, 8005 Zurich (hereinafter referred to as "IMPACT"). They apply to all offers and services provided by IMPACT.

IMPACT reserves the right to amend these GTC at any time. Amendments will be communicated to the members in a timely and appropriate manner. Unless the member objects in writing within 30 days, the amendments are deemed accepted.

2. Membership and Services

IMPACT offers memberships for group training, personal training, and seminars. The offerings and prices are determined by the chosen membership plan. Memberships are personal and non-transferable. IMPACT reserves the right to make changes to the training offerings, trainers, and studio locations. Members are not entitled to the availability of a specific trainer, specific training offering, or specific studio location. If a comparable studio within a reasonable radius of 5 km is provided as a substitute, this shall be deemed equivalent and reasonable. A comparable studio shall include similar facilities, class offerings, and accessibility. If no such studio is available, members may terminate their membership without penalty.

Our aim is always to provide high-quality training at premium locations. However, due to unforeseen circumstances such as organizational adjustments or force majeure, offerings and locations may be altered, restricted, or discontinued. Changes, cancellations, or adjustments to training times, offerings, or locations do not entitle members to refunds, replacement sessions, or compensation. Contractual payment obligations remain unaffected by such changes. By signing up for or participating in our services, members agree to these terms.

3. Memberships "1, 2, 3 Trainings per Week and Unlimited Training"

IMPACT offers the memberships "1 Training per Week", "2 Trainings per Week", "3 Trainings per Week", and " Unlimited Training" with terms of "24 Months", "12 Months", or in exceptional cases "Monthly". Payment can be made monthly, annually, or biennially.

Termination and Renewal:

  • 12- and 24-Month Terms: Termination at the end of the agreed term with a notice period of one month. If no timely termination is received, the membership automatically renews for the original term.
  • Exceptional Monthly Term: May be terminated with a notice period of one month to the end of a calendar month.

Terminations must be made in writing via email to support@impact-martialarts.com.

Discount for Apprentices and Students: We offer a 10% discount on our monthly fees for apprentices and students. Appropriate proof must be provided.

Contract Pausing or Termination:

  1. Pausing Without Documentation: Members with 12- or 24-month memberships may pause their membership once per contract year for a period of one (1) to three (3) months without providing any documentation. The pause must be requested in writing via email to support@impact-martialarts.com before it begins with specifying the start and end dates. The payment obligation remains in effect during the pause; however, the contract term will be extended by the duration of the paused period.
  2. Extraordinary Pause or Termination for Injuries or Illnesses
    • Extraordinary Pause for Periods Less Than One Month: An extraordinary pause of up to one (1) month is permitted for cases of severe injury or illness. To request this pause, the member must submit a written request via email to support@impact-martialarts.com prior to the start of the pause, accompanied by supporting medical documentation from a licensed physician specifying the start and end dates of the absence. This option is only available for periods exceeding two (2) weeks but less than one (1) month.
    • Termination for Periods Exceeding One Month: If a member sustains an injury or illness expected to last longer than one (1) month, confirmed by a medical certificate from a licensed physician, the membership is extraordinarily terminated upon receipt and verification of the medical documentation.
    • No Entitlement for Short-Term Absences: In the event of illness, injury, or other absences lasting from one (1) up to two (2) weeks, there is no entitlement to pause or terminate the membership.
  3. Additional Extraordinary Termination Options: For other valid reasons such as pregnancy, military service, extended stay abroad, further education, or relocation, the membership may be paused or terminated extraordinarily. A written request with supporting documentation, including the start and end dates, must be submitted via email to support@impact-martialarts.com.

Liability in Case of Operational Interruptions:

IMPACT is not liable for non-performance due to force majeure (e.g., natural disasters, pandemics). In the event of a closure exceeding one month, the contract term is extended accordingly.

4. Starter Packages

Upon initial enrollment, the purchase of a starter package ("BRONZE", "ZINC", "SILVER", "GOLD", or "PLATINUM") with a one-time payment is required. All packages include the entry fee, personal check-ins, and access to the Online Training Hub. Personal check-ins are a voluntary service provided by IMPACT, subject to internal processes, and are not guaranteed.

The packages "ZINC", "SILVER", "GOLD", and "PLATINUM" include additional products that become the property of the member. If products are not in stock, there is no entitlement to immediate delivery. The claim to the products or equivalent items in the same category from IMPACT remains until fulfilled. Returns or buybacks of the products are excluded, even in cases of non-use or non-collection.

5. Upgrades and Downgrades

a) Upgrades

Members may upgrade to a higher-level membership at any time. In doing so, the existing contract is terminated, and a new contract is concluded. Payments already made will be proportionally credited.

  • Procedure: Termination of the current contract. Immediate commencement of the new contract.
  • Financial Implications: Settlement of remaining obligations. New membership fees apply from the start date of the new contract.

b) Downgrades

Downgrades are only possible at the end of the contract term and must be requested in writing within the notice period.

6. Participation in Training

a) Prerequisites

  1. Health: The member confirms being in good physical condition suitable for sports activities. Any health restrictions must be communicated to the trainer before the start of the training session.
  2. Code of Conduct: Consideration and safety are of utmost priority. Participation under the influence of drugs or alcohol is prohibited.

Participation is prohibited in the case of symptoms of illness or officially ordered quarantine. IMPACT accepts no liability for any infections.

b) Training Times

  • Subscription “1, 2, 3 Trainings per Week": Flexible participation in the corresponding number of weekly training sessions without binding to specific weekdays or times. Unused sessions expire at the end of the week.
  • Subscription “Unlimited Training": Unlimited participation in all training sessions of the corresponding category.

c) Holidays and Public Holidays

IMPACT is closed during calendar weeks 31 and 52 and offers reduced operations during calendar weeks 32 and 1. On public holidays recognized in the Canton of Zurich, IMPACT is closed. There is no entitlement to compensation or extension of the membership term due to these closures.

7. Audio, Image, and Video Recordings

During training sessions, audio, image, and video recordings may be made for internal purposes and marketing (website, Instagram, Facebook, TikTok, LinkedIn, etc.). Members may object to the use of recordings involving them by submitting a written objection via email at the time of contract conclusion. In such cases, no recordings of the member will be made or used.

8. Communication

Information regarding trainings is communicated via WhatsApp groups. The member expressly consents to this form of communication. IMPACT may create additional groups at any time.

9. Liability and Insurance

Participation in IMPACT's offerings is at the member's own risk. To the extent permitted by law, IMPACT excludes all liability for direct and indirect damages. It is the member's responsibility to obtain appropriate accident and liability insurance coverage.

IMPACT is not liable for the loss of personal belongings, valuables, money, or clothing.

10. Authority to Issue Instructions and House Rules

The member is obligated to follow the instructions of the staff and comply with the house rules. In cases of gross or repeated violations, IMPACT reserves the right to terminate the contract without notice. There is no entitlement to a refund of fees in such cases.

11. Data Protection

The processing of personal data is conducted in accordance with IMPACT's Privacy Policy, available at www.impact-martialarts.com. By entering into the contract, the member consents to the processing of their personal data as described.

12. Final Provisions

Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a valid provision that closely reflects the economic intent shall apply.

13. Applicable Law and Jurisdiction

These GTC are governed exclusively by Swiss substantive law, excluding its conflict of laws provisions. The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC and the memberships is Zurich, Switzerland.
